I know you have to cut the metal around the existing hole in the door but are there any modification required to the door panel and speaker grill ?

You'll have to cut off one of the 3 notches on the door panel which surround the speaker. Each notch has a door panel clip so you lose one. I cut the one on top. This creates the extra width you need to fit a 6.5" speaker.
You don't have to cut the door metal if you decide to mount the speaker to the door like the OEM mounting method. I decided to cut through the door after installing my 6.5"'s as they buzzed and the midrange stunk. Major improvement after cutting through the door and dampening. I did a write-up (A/B comparison) just search my posts.
No need to modify the factory grill. You'll have plenty of top depth. Bottom depth is a problem. My speakers are exactly 2.5" deep. One 3/4" MDF ring was BARELY enough to clear the window behind.
I suggest you do one door at a time and being very patient. Its not easy.

Thanks Jwerner. I have decided to get the adapter ring and put a set of high end 5.25's in the front. How hard is it to get 6.5's in the rear? (02 M3) The car hasn't been delivered yet so I cant really open the trunk and have a look.
