We have both in the fmaily.
The E39 is hands down more quieter, refined, smoother, and a better highway DD.
The e46 is great, but I also like the power of our E39 as well (530i/5) vs my 323iT/5
It has pretty much the same e46 quirks, so you know what to look out for.
